These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Veridien Technologies Ltd. ("Veridien," "we," "us," or "our") governing your access to and use of the Veridien platform, including all associated services, APIs, and mobile applications (collectively, the "Service"). By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
"Authorized User" means any individual whom the Customer permits to access the Service under the Customer's account, including employees, contractors, and agents.
"Customer Data" means all data, information, and content submitted, uploaded, or otherwise made available to the Service by the Customer or its Authorized Users, including but not limited to guest records, reservation data, financial transactions, and property configurations.
"Property" means a hospitality establishment (hotel, resort, inn, hostel, serviced apartment, or similar) registered by the Customer within the Service.
"Subscription" means the paid plan selected by the Customer, which determines the features, room capacity, and add-on modules available.
"Service Level Agreement" (SLA) means the uptime and performance commitments described in Section 6 of these Terms.
2. Eligibility and Account Registration
You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By registering for an account, you represent and warrant that all information provided is accurate, current, and complete, and you agree to update such information to maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You are solely responsible for all activities that occur under your account, whether or not authorized by you. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
Each Authorized User must have a unique login. Credential sharing between individuals is prohibited. You are responsible for ensuring that all Authorized Users comply with these Terms.
3. Scope of Service
Veridien is a cloud-based property management system (PMS) designed for hospitality businesses. The Service includes, but is not limited to, the following core modules:
- Front desk management and guest check-in/check-out
- Reservation management with calendar and list views
- Billing, folio management, and invoicing
- Housekeeping task management and room status tracking
- Guest profile and communication management
- Rate plan configuration and revenue management
- Role-based access control and audit logging
The following are available as optional paid add-on modules, subject to separate pricing:
- Channel Manager — two-way OTA synchronization
- Multi-Currency — foreign currency billing and display
- Restaurant Module — POS, table management, and kitchen display
- Hera AI — AI-powered guest communication and operations assistant
We reserve the right to modify, update, or discontinue features of the Service at any time. Material changes that reduce core functionality will be communicated to active subscribers with at least 30 days' notice.
4. Subscription, Billing, and Payment
Billing Cycle. Subscriptions are billed either monthly or annually, as selected during registration. Annual plans receive a 20% discount off the monthly rate. All fees are quoted in United States Dollars (USD) unless otherwise stated.
Room-Based Pricing. Your base subscription fee is determined by the number of rooms registered in your Property. When your room count crosses into a new pricing band (increments of 5 rooms), your fees will be adjusted accordingly. Upgrades are prorated for the remainder of the current billing period; downgrades take effect at the start of the next billing cycle.
Add-On Modules. Add-on modules may be enabled or disabled at any time. Enabling an add-on mid-cycle will result in a prorated charge. Disabling an add-on takes effect at the end of the current billing period.
Free Trial. New accounts on the Starter plan (1–10 rooms) are eligible for a 7-day free trial. No credit card is required to begin the trial. At the end of the trial period, you must enter valid payment information to continue using the Service. If no payment method is provided, your account will be suspended.
Payment Methods. We accept major credit and debit cards. Wire transfer is available for annual plans. All payments are processed through PCI DSS Level 1 certified payment processors.
Late Payment. If payment fails or is overdue for more than 14 days, we reserve the right to suspend access to the Service. Your data will be retained for a minimum of 60 days following suspension to allow for payment resolution. After 60 days, we may permanently delete your account and associated data.
Taxes. All fees are exclusive of applicable taxes (VAT, GST, sales tax, withholding tax). You are responsible for all taxes associated with your use of the Service, except for taxes based on Veridien's net income.
Refunds. Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a prorated basis within the first 30 days of the subscription term. After 30 days, annual subscriptions are non-refundable.
5. Customer Data and Ownership
Your Data, Your Property. You retain all rights, title, and interest in and to your Customer Data. Veridien does not claim ownership of any Customer Data. We process Customer Data solely to provide and improve the Service, and in accordance with our Privacy Policy and any applicable Data Processing Agreement.
License to Veridien. You grant Veridien a limited, non-exclusive, worldwide license to use, process, store, and transmit Customer Data solely for the purpose of providing the Service to you. This license terminates upon deletion of the relevant data or termination of your account.
Data Portability. You may export your Customer Data at any time using the export functionality available within the Service. Upon account termination, you will have 30 days to export your data before it is permanently deleted.
Aggregated Data. We may use anonymized, aggregated data derived from Customer Data for analytical purposes, such as benchmarking industry trends. Such aggregated data will not identify you, your Property, or any individual guest.
6. Service Availability and SLA
Uptime Commitment. Veridien targets 99.9% uptime for the Service, measured on a calendar month basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance and will be performed during off-peak hours whenever possible.
Service Credits. If the Service fails to meet the 99.9% uptime target in any given calendar month, eligible customers on paid plans may request service credits. Credits will be calculated as a percentage of the monthly fee proportional to the downtime experienced, up to a maximum of 30% of the monthly fee. Service credits must be requested within 30 days of the downtime event.
Exclusions. The uptime commitment does not apply to downtime caused by: (a) factors outside our reasonable control, including force majeure events; (b) third-party services, networks, or infrastructure; (c) Customer's equipment, software, or network connectivity; (d) scheduled maintenance; or (e) actions or inactions of the Customer or its Authorized Users.
7. Security and Compliance
Infrastructure. The Service is hosted on Sevalla, a SOC 2 Type II and ISO 27001 certified cloud platform built on Google Cloud. All infrastructure resides within isolated networks with enterprise-grade firewalls, DDoS protection, and intrusion detection systems.
Encryption. All data in transit is encrypted using TLS 1.2 or higher. All data at rest is encrypted using AES-256 encryption. Database backups are encrypted and stored in geographically separate regions.
Compliance Program. Veridien uses SOC 2 and GDPR compliant service providers across our technology stack, including infrastructure, payment processing, email delivery, and data storage. Veridien is actively pursuing SOC 2 Type II certification and full GDPR compliance certification. Our compliance program is designed to meet the Trust Services Criteria of Security, Availability, Processing Integrity, Confidentiality, and Privacy. We will update this section as our certifications are completed.
GDPR. Veridien is committed to compliance with the General Data Protection Regulation (EU) 2016/679 and the UK GDPR. We act as a data processor on behalf of our customers (data controllers) with respect to guest personal data. A Data Processing Agreement (DPA) is available upon request and forms part of these Terms for customers subject to GDPR. Veridien is currently in the process of obtaining formal GDPR compliance certification.
PCI DSS. Veridien does not store, process, or transmit cardholder data directly. All payment processing is handled by PCI DSS Level 1 certified third-party processors. We maintain PCI DSS SAQ-A compliance for our integration with payment processors.
Backup and Disaster Recovery. Customer Data is continuously backed up with point-in-time recovery capabilities. Backups are replicated to geographically separate regions. Our disaster recovery procedures are tested quarterly, with a Recovery Time Objective (RTO) of 4 hours and a Recovery Point Objective (RPO) of 1 hour.
Incident Response. We maintain a documented incident response plan. In the event of a security incident affecting Customer Data, we will notify affected customers within 72 hours of confirmation, in compliance with GDPR Article 33 requirements.
8. Acceptable Use Policy
You agree not to, and will ensure that your Authorized Users do not:
- Use the Service for any unlawful purpose or in violation of any applicable local, national, or international law or regulation
- Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Interfere with, disrupt, or create an undue burden on the Service or the networks connected to it
- Use the Service to store or transmit malicious code, viruses, or any harmful software
- Resell, sublicense, or distribute access to the Service to any third party without our prior written consent
- Use the Service to send unsolicited communications (spam) to guests or other parties
- Scrape, crawl, or use automated means to extract data from the Service beyond the functionality provided
- Use the Service in a manner that could damage, disable, or impair the Service for other customers
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.
9. Intellectual Property
Veridien's IP. The Service, including all software, code, design, text, graphics, logos, trademarks, and other materials, is the exclusive property of Veridien Technologies Ltd. and is protected by international copyright, trademark, patent, and trade secret laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
Feedback. If you provide us with suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party's Confidential Information and not to disclose it to any third party, except as required by law or as necessary to perform obligations under these Terms. "Confidential Information" includes business plans, customer lists, technical data, pricing, and any information designated as confidential.
This obligation survives termination of these Terms for a period of three (3) years, except for trade secrets, which remain protected indefinitely.
11. Third-Party Integrations
The Service may integrate with or provide access to third-party services, including but not limited to channel managers (OTA platforms), payment processors, email delivery services, and AI providers. Your use of such third-party services is governed by their respective terms and privacy policies. Veridien is not responsible for the availability, accuracy, or practices of any third-party service.
12. Warranties and Disclaimers
Our Warranty. Veridien warrants that the Service will perform materially in accordance with the applicable documentation and that we will use commercially reasonable efforts to maintain the security and integrity of the Service.
Disclaimer. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIDIEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VERIDIEN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIDIEN, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
VERIDIEN'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO VERIDIEN DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY ARISING FROM (A) VERIDIEN'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (B) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR (C) ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
14. Indemnification
You agree to indemnify, defend, and hold harmless Veridien and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your Customer Data, including any claim that your Customer Data infringes upon or misappropriates the intellectual property rights of a third party; or (d) any unauthorized use of your account.
15. Term and Termination
Term. These Terms commence on the date you create an account and continue until terminated by either party in accordance with this Section.
Termination by You. You may terminate your account at any time by contacting [email protected] or using the account cancellation feature within the Service. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the paid period.
Termination by Veridien. We may suspend or terminate your account immediately if: (a) you breach any material provision of these Terms, including the Acceptable Use Policy; (b) your payment is overdue for more than 30 days; (c) we are required to do so by law; or (d) we reasonably determine that your use of the Service poses a security risk to the Service or other customers.
Effect of Termination. Upon termination, your right to access and use the Service ceases immediately. You will have 30 days from the effective date of termination to export your Customer Data. After this period, we will permanently delete all Customer Data associated with your account, except as required by law to retain.
Survival. Sections 5 (Customer Data and Ownership), 9 (Intellectual Property), 10 (Confidentiality), 12 (Warranties and Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) shall survive termination.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before the changes take effect by email to the address associated with your account and by posting a notice within the Service.
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service before the effective date.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Maldives, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the courts of the Republic of Maldives.
Informal Resolution. Before initiating any legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days.
18. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and Veridien regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. The failure of Veridien to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. Veridien may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Force Majeure. Veridien shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, war, terrorism, labor disputes, internet outages, or third-party service failures.
Notices. All notices under these Terms will be sent to the email address associated with your account. Notices to Veridien should be sent to [email protected].
